TERMS OF USE AND SERVICE AGREEMENT

1. DEFINITIONS
1.1 Platform: Web and mobile services offered under the Profylee brand.
1.2 User: Real or legal person using the platform.
1.3 Corporate User: Legal person registering on behalf of an employer, human resources company, or company.
1.4 Individual User: Individuals creating CVs, sharing content, or making applications.
1.5 Content: All text, visual, file, CV, article, comment, or episodes uploaded by users.
2. ACCEPTANCE DECLARATION
2.1 By registering with Profylee or using the platform, you are deemed to have accepted this entire agreement and the documents listed below:

2.1.3 Cookie Policy
2.1.4 AI Transparency Statement
Service Level Agreement (SLA)
2.2 These documents are an integral part of this agreement. If you do not accept them, you should not use the platform.
3. ACCOUNT CREATION AND SECURITY
3.1 Users must create accounts with accurate and current information.
3.2 Corporate users declare that they have the authority to represent the company.
3.3 The user is responsible for keeping passwords and account information confidential.
3.4 Profylee reserves the right to suspend accounts in case of suspicious activities.
4. SERVICES AND USAGE RIGHTS
4.1 Main services provided by Profylee:
4.1.1 SEO-compliant digital CV profile creation
4.1.2 Article and episode publishing tools
4.1.3 Corporate control panel and analysis reports
4.1.4 Credit-based CV access and wallet system
4.1.5 Google Meet integration
4.1.6 Sponsored content publishing
4.1.7 AI-powered candidate matching
4.1.8 Role-based authorization (admin/editor/viewer)
4.2 Profylee reserves the right to modify or remove services at any time.
5. LICENSE AND CONTENT RIGHTS
5.1 Users retain all intellectual property rights to the content they upload.
5.2 However, the user grants Profylee a worldwide, perpetual, transferable, and royalty-free usage license on the content.
5.3 Profylee is not directly responsible for the misuse of publicly available content by third parties.
6. PAYMENT, CREDIT AND REFUND POLICY
6.1 CV access, sponsored content, etc. services are credit-based.
6.2 Used credits are not refunded; compensation may be provided in case of technical failures.
6.3 Users are responsible for their own tax obligations in their country of residence.
6.4 EU users have a 14-day right of withdrawal under GDPR.
7. USER OBLIGATIONS AND PROHIBITIONS
7.1 The following actions are strictly prohibited:
7.1.1 Using automation, bots, and scraping tools
7.1.2 Uploading fake, misleading, or copyright-infringing content
7.1.3 Abusing the credit system
7.1.4 Creating multiple fake accounts
7.1.5 Attempting to breach system security or applying reverse engineering
8. LIABILITY LIMITATIONS
8.1 Profylee does not guarantee employment.
8.2 The platform serves as a technical intermediary.
8.3 Hiring processes and contracts between users are the responsibility of the parties.
9. ACCOUNT CLOSURE AND TERMINATION
9.1 The user can delete their account at any time.
9.2 Profylee may suspend or terminate accounts of users who violate the agreement.
9.3 Remaining credits are not refunded after termination.
10. INTELLECTUAL PROPERTY
10.1 Profylee brand, software, logo, and all designs are legally protected.
10.2 Unauthorized use of these elements is prohibited and legal action will be initiated.
11. BRAND AND LOGO USAGE
11.1 Profylee logo, brand, and visual identity can only be used with written permission.
11.2 Unauthorized use constitutes trademark infringement and is subject to sanctions.
12. FORCE MAJEURE
12.1 Parties cannot be held responsible for obligations that cannot be fulfilled due to force majeure such as natural disasters, war, pandemic, cyber attacks.
13. APPLICABLE LANGUAGE
13.1 This agreement is prepared in both Turkish and English.
13.2 In case of dispute, the English text shall be taken as the basis.
14. UPDATE RIGHT
14.1 Profylee reserves the right to update these terms.
14.2 Changes are announced at least 30 days in advance via platform or email.
14.3 Updated terms become effective upon publication. Continued use constitutes acceptance.
15. JURISDICTION AND APPLICABLE LAW
15.1 Turkey: Istanbul (Çağlayan) Courts – Turkish Law
15.2 EU & UK: London Commercial Court – English and Welsh Law
15.3 USA: Delaware State Courts – Delaware Law
15.4 Others: ICC Arbitration (Paris) – UNCITRAL Arbitration Rules
