**PROFYLEE

USER-GENERATED CONTENT (UGC) LICENSE AGREEMENT**


This User-Generated Content License Agreement (“UGC Agreement”) governs all content that you create, upload, submit, post, display, or otherwise make available on or through Profylee (“Platform”, “we”, “us”). By uploading or posting any content to the Platform, you acknowledge and agree to the terms outlined in this UGC Agreement.



1. DEFINITIONS

1.1. “Content” or “User-Generated Content (UGC)”

All materials submitted or uploaded by the user, including but not limited to text, documents, images, videos, audio files, portfolios, articles, job posts, service listings, comments, likes, feedback, messages, code, files, and any other data.

1.2. “User”

Any individual or entity that creates an account, uploads content, or uses any content-related features of Profylee.

1.3. “License”

The rights granted by the user to Profylee for the use of the content, as defined in this Agreement.



2. OWNERSHIP OF CONTENT

You retain full ownership of all content you create or upload to Profylee.

Profylee does not claim ownership of your content.

You grant Profylee certain usage rights as described in Section 3.



3. LICENSE GRANTED TO PROFYLEE

By uploading content to Profylee, you grant Profylee a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to:

3.1. Use the Content

Store, process, reproduce, modify, display, and otherwise use the content for the operation of the Platform.

3.2. Distribute and Display the Content

Make your content available across Profylee features, including:

  1. Showcase

  2. Publish

  3. Works

  4. Wall

  5. Insight

  6. Flow / Pool

  7. Explore / Search Engine

  8. Profile & SEO visibility modules

3.3. Share Content with Other Users

Allow other users, employers, candidates, or third-party professionals to view or interact with your content as required by platform functionality.

3.4. Non-Commercial Use

Profylee will not sell, license, or commercially distribute your content outside the Platform’s intended services.

3.5. Archive and Backup

Store content for data backup, security, and legal compliance purposes.


3.6. Technical Processing Rights

Profylee may:

  1. reformat

  2. compress

  3. analyze

  4. index

  5. summarize

  6. create metadata

  7. generate AI-powered tags, scores, or insights

as necessary for platform operation.



4. USER RESPONSIBILITIES

The user represents and warrants that:

  1. They have full rights to upload the content.

  2. The content does not infringe copyright, trademark, privacy, or other intellectual property rights.

  3. The content does not include personal data of others without proper consent.

  4. The content does not contain confidential or proprietary information belonging to others.

  5. The content is not illegal, defamatory, hateful, discriminatory, harassing, violent, harmful, or misleading.

  6. The content complies with all laws and Profylee’s policies.

The user is fully responsible for all content they upload or share.



5. PROFYLEE'S RIGHTS TO REMOVE, LIMIT, OR MODIFY CONTENT

Profylee reserves the right to remove, restrict, hide, de-index, or disable any content without prior notice if:

  1. It violates this UGC Agreement

  2. It infringes intellectual property rights

  3. It constitutes fraud, impersonation, or misleading information

  4. It contains personal data shared unlawfully

  5. It harms the Platform’s integrity or user safety

  6. It violates any law or regulation

  7. It damages Profylee’s reputation or brand

Profylee may also suspend or terminate accounts associated with violating content.



6. INTELLECTUAL PROPERTY & DMCA/FSEK COMPLIANCE

Profylee complies with:

  1. DMCA (Digital Millennium Copyright Act – U.S.)

  2. WIPO Copyright Treaty

  3. FSEK (Turkish Copyright Law No. 5846)

Copyright infringement notices may be sent to:

Profylee may remove content or terminate accounts when necessary.



7. CONTENT DELETION AND LICENSE SURVIVAL

When a user deletes their content:

  1. It is removed from public display

  2. Other users cannot access it anymore

However:

✔ Content may remain in secure backups

✔ Content may be retained for legal obligations

✔ Profylee cannot remove content that was previously viewed, stored, or copied by other users (e.g., screenshots, downloaded CVs)

These terms reflect industry-standard practices.



8. PERSONAL DATA WITHIN CONTENT

If your content contains personal data (e.g., CV, profile photo, biography):

  1. It is processed according to the Profylee Privacy Policy,

  2. The Privacy Notice & Consent applies,

  3. AI processing is done using anonymized data,

  4. Profylee does not sell personal data.





9. ACCOUNT DELETION

Upon account deletion:

  1. Most content is removed

  2. Messaging data and logs may be retained for legal compliance

  3. Backup data is retained until securely purged

  4. Profylee cannot remove content already accessed by third parties



10. LIMITATION OF LIABILITY

Profylee is not responsible for:

  1. Damages caused by user-uploaded content

  2. Misleading or inaccurate information posted by users

  3. Content uploaded by employers or third parties

  4. Interactions between users and employers

  5. Any external use of publicly visible content

Profylee is not required to actively monitor all content but may intervene when violations occur.



11. UPDATES TO THIS AGREEMENT

Profylee may update this UGC Agreement at any time.

Material changes will be communicated to users.
